These Terms and Conditions (the "Terms") constitute a binding legal agreement between you (the "User") and FirstAI.d ("FirstAI.d", "we", "us", or "our") governing your access to and use of the FirstAI.d mobile application, website, and all related emergency coordination services (collectively, the "Platform").

By downloading, accessing, or using the Platform in any manner, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately cease all use of the Platform.

1. DEFINITIONS

The following terms have the meanings set out below:

"Account" means a registered user account created on the Platform.

"Ambulance Services" means the emergency medical transportation services coordinated through the Platform and provided by Partner Hospitals.

"Content" means all AI-generated first aid guidance, triage outputs, hospital location data, navigation information, and other materials made available through the Platform.

"Dispatch Fee" means the charge payable by the User for coordinating and dispatching Ambulance Services to the User location.

"Emergency" means any urgent medical situation requiring immediate clinical intervention, as self-reported by the User or determined through the Platform AI triage system.

"Emergency Services" means the local government emergency response system applicable in your jurisdiction (e.g., 112, 199, 911, or 999).

"Partner Hospital" means a healthcare facility with which FirstAI.d has a formal partnership agreement for the provision of Ambulance Services and emergency care coordination.

"Platform" means the FirstAI.d mobile application, website, and all related services, features, and tools.

"Third-Party Services" means any external mapping providers, payment processors, telecommunications infrastructure, or other service providers whose functionality is integrated into the Platform.

"Wallet" means the digital prepaid account associated with your Account, used to facilitate payment for Dispatch Fees and related emergency services.

2. NATURE AND SCOPE OF SERVICES

2.1 Overview of Services

FirstAI.d operates an emergency coordination platform that provides the following services:

  • AI-driven emergency triage and first aid instruction generation based on user-reported symptoms;
  • Identification and routing to the nearest Partner Hospital or verified healthcare facility;
  • Coordination and dispatch of Ambulance Services from Partner Hospitals to the User location; and
  • Payment facilitation for emergency medical transportation through the Wallet system.

2.2 What FirstAI.d Is Not

FirstAI.d is not a medical services provider, emergency response organisation, hospital, or clinical care facility. FirstAI.d does not:

  • Employ or deploy paramedics, emergency medical technicians, or clinical staff;
  • Own, operate, or maintain ambulances or emergency medical vehicles;
  • Provide medical diagnoses, clinical advice, or professional medical opinions;
  • Guarantee the availability, response time, equipment readiness, or clinical competence of Partner Hospitals or their Ambulance Services; or
  • Substitute for calling government Emergency Services in life-threatening situations.

2.3 Geographic Scope and Limitations

The Platform is currently optimised for use within the Federal Capital Territory (FCT), Abuja, Nigeria. Use of the Platform outside this geographic area may result in:

  • Inaccurate hospital routing or facility identification;
  • Unavailability of Partner Hospitals or Ambulance Services;
  • Delayed or failed dispatch coordination; or
  • Reduced accuracy of AI triage outputs.

We make no representation that the Platform will function reliably, accurately, or at all, in jurisdictions outside the FCT. You use the Platform outside the FCT entirely at your own risk.

2.4 Pilot Status and Service Availability

The Platform is currently operating as a minimum viable product (MVP) in pilot mode. By using the Platform, you acknowledge and accept that:

  • The Platform may experience downtime, technical failures, or interruptions without notice;
  • AI-generated triage and first aid instructions may contain errors, omissions, or inaccuracies;
  • Hospital data, routing information, and Partner Hospital availability may change without prior notice;
  • Ambulance dispatch may be delayed, unavailable, or unsuccessful due to factors beyond our control; and
  • Features, pricing, and service terms may change as the Platform evolves from pilot to full commercial operation.

The Platform is provided on an "as is" and "as available" basis for testing and real-world validation purposes.

In any life-threatening Emergency, you must call government Emergency Services immediately. The Platform is a supplementary tool and must not be relied upon as the sole means of securing emergency medical care.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age and Capacity Requirements

You may use the Platform only if you are at least 18 years of age and have the legal capacity to enter into binding contracts under the laws of Nigeria. If you are under 18 years of age, you may use the Platform only with the verifiable consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

By creating an Account or using the Platform, you represent and warrant that you meet these eligibility requirements.

3.2 Account Registration and Security

To access certain features of the Platform, including Ambulance Services dispatch and Wallet functionality, you must create an Account. When registering, you agree to:

  • Provide accurate, complete, and current information, including your full legal name, valid contact details, and emergency contact information;
  • Maintain the confidentiality and security of your login credentials at all times;
  • Notify FirstAI.d immediately upon discovering any unauthorised access to or use of your Account;
  • Update your Account information promptly to ensure it remains accurate and current; and
  • Accept full responsibility for all activity that occurs under your Account, whether or not authorised by you.

We reserve the right to suspend, restrict, or terminate your Account without prior notice where we have reasonable grounds to believe you have violated these Terms, provided false information, or engaged in conduct that threatens the integrity of the Platform or the safety of other Users.

4. WALLET SYSTEM AND PAYMENT TERMS

4.1 Wallet Funding and Use

The Platform requires Users to maintain a prepaid Wallet balance to facilitate payment for Dispatch Fees and related emergency services. You may fund your Wallet through:

  • Direct bank transfer, card payment, or other electronic payment methods supported by the Platform; or
  • Employer or organisational contribution where you are part of a corporate or institutional programme (in which case your employer or organisation may fund your Wallet through salary deductions, direct contributions, or other agreed mechanisms).

All Wallet funds are held by FirstAI.d or its designated payment processor on your behalf and may only be used to pay for services provided through the Platform. Wallet balances do not accrue interest and are not insured or guaranteed by any government deposit insurance scheme.

You are solely responsible for maintaining a sufficient Wallet balance to cover anticipated emergency service costs. FirstAI.d is not obligated to advance funds, extend credit, or facilitate dispatch where your Wallet balance is insufficient.

4.2 Dispatch Fees and Payment Process

When you request Ambulance Services through the Platform:

  • The applicable Dispatch Fee will be displayed to you before dispatch is confirmed;
  • If your Wallet balance is sufficient, the Dispatch Fee will be debited immediately upon your confirmation of the dispatch request;
  • If your Wallet balance is insufficient, you will be prompted to fund your Wallet before dispatch can proceed; and
  • Additional charges may apply upon arrival at the emergency department or hospital, depending on the Partner Hospital fee structure and the clinical services rendered. These charges are the responsibility of the User and are payable directly to the Partner Hospital.

Dispatch Fees are non-refundable once the ambulance has been dispatched, except where:

  • The ambulance fails to arrive due to a technical failure on the part of FirstAI.d or the Partner Hospital;
  • The dispatch was initiated in error by FirstAI.d and not by the User; or
  • A refund is otherwise required by applicable Nigerian consumer protection law.

To request a refund, you must contact FirstAI.d at admin@firstai-d.org within seven (7) days of the disputed charge, providing full details of the transaction and the basis for your refund claim.

4.3 Pricing and Fee Changes

FirstAI.d reserves the right to modify Dispatch Fees, introduce new fees, or change the Wallet funding structure at any time. Where such changes materially affect your use of the Platform, we will provide you with not less than fourteen (14) days prior written notice via the email address associated with your Account or through an in-app notification.

Your continued use of the Platform following any such notice constitutes your acceptance of the revised fees. If you do not agree to the changes, you may close your Account and request a refund of any unused Wallet balance in accordance with Section 11.

5. AI TRIAGE AND AUTOMATED DECISION-MAKING

5.1 How the AI Triage System Works

The Platform uses an AI-driven clinical protocol system to analyse user-reported symptoms and generate first aid instructions in real time. When you initiate an Emergency triage session, the system processes:

  • The symptoms and emergency description you report (via voice input or manual entry);
  • Any relevant medical history you have voluntarily provided to the Platform; and
  • Your real-time location data, used to identify the nearest Partner Hospital as part of the routing feature.

Based on these inputs, the AI system applies pre-programmed clinical protocols to generate step-by-step first aid guidance and recommend whether ambulance dispatch is appropriate. This response is generated automatically without human clinical review at the point of delivery.

You acknowledge and agree that all AI-generated outputs are general guidance only and do not constitute a medical diagnosis, clinical assessment, or professional medical opinion. You should not treat these outputs as a substitute for consultation with a qualified healthcare professional.

5.2 Limitations and Risks of AI-Generated Guidance

Because the AI triage system is an automated tool operating on incomplete information, you acknowledge and accept that:

  • The system may produce instructions that are inaccurate, incomplete, inappropriate, or not suited to your specific medical condition or circumstances;
  • The system cannot account for factors it has not been informed of, including pre-existing conditions, allergies, contraindications, medications, or the physical state of the injured person;
  • The protocols applied by the system may not reflect the most current medical guidance or clinical best practices;
  • The system recommendations are not a guarantee of safety and may lead to incorrect or harmful actions if followed without independent clinical judgement; and
  • You assume full responsibility for any decision to follow, modify, or disregard AI-generated first aid instructions.

In any situation where you are uncertain about the appropriateness of the AI-generated guidance, or where the Emergency appears to be immediately life-threatening, you must call government Emergency Services without delay.

5.3 Right to Contest AI Outputs

You have the right to object to any decision made solely on the basis of automated processing where that decision significantly affects you. If you believe an AI-generated triage output was incorrect, harmful, or inappropriate, you may:

  • Contact FirstAI.d immediately at admin@firstai-d.org and request that a qualified member of our team review the protocol that was triggered;
  • Provide feedback through the Platform so that we can improve the accuracy and safety of the AI triage system; and
  • Request that your data be excluded from future algorithm training, subject to our obligations under applicable law and clinical safety protocols.

We take all such reports seriously and will investigate them promptly. However, we cannot guarantee that a post-event review will result in any change to the Platform protocols or liability position.

6. AMBULANCE DISPATCH AND PARTNER HOSPITAL SERVICES

6.1 Nature of Dispatch Coordination

FirstAI.d facilitates the coordination and dispatch of Ambulance Services provided by Partner Hospitals. FirstAI.d acts solely as an intermediary technology platform connecting Users with Partner Hospitals and does not:

  • Own, operate, maintain, or control any ambulances or emergency medical vehicles;
  • Employ, supervise, train, or credential any paramedics, emergency medical technicians, drivers, or clinical staff;
  • Determine the route, response time, or operational decisions of the ambulance crew;
  • Supply, maintain, or ensure the availability of medical equipment, drugs, or life-support systems carried by ambulances; or
  • Provide, supervise, or bear responsibility for the clinical care, treatment, or medical decisions made by Partner Hospital staff.

All Ambulance Services and subsequent clinical care are provided directly by Partner Hospitals acting as independent contractors. FirstAI.d role is limited to routing, payment facilitation, and data transmission.

6.2 No Guarantee of Availability, Response Time, or Equipment

FirstAI.d makes no representation, warranty, or guarantee regarding:

  • The availability of Ambulance Services at the time of your request;
  • The response time or arrival time of any dispatched ambulance;
  • The condition, functionality, or appropriateness of medical equipment carried by the ambulance;
  • The clinical competence, licensure, or professional conduct of ambulance crew or Partner Hospital staff; or
  • The quality, safety, or outcome of any clinical care provided by Partner Hospitals or their personnel.

Ambulance Services may be delayed, diverted, or cancelled due to factors beyond FirstAI.d control, including but not limited to:

  • Traffic congestion, road closures, or adverse weather conditions;
  • Unavailability of ambulance units or crew members;
  • Mechanical failure or equipment malfunction;
  • Inaccurate or incomplete location data provided by the User or generated by GPS systems; or
  • Force majeure events as defined in Section 12.6.

FirstAI.d is not liable for any loss, injury, or damage arising from delayed, failed, or cancelled ambulance dispatch or from the absence of appropriate medical equipment or personnel. See Section 7 for full limitation of liability provisions.

6.3 Clinical Care Responsibility

All clinical decisions, medical treatment, and patient care provided by Partner Hospitals or their staff are the sole responsibility of the relevant healthcare provider. FirstAI.d is not responsible for:

  • Misdiagnosis, clinical errors, or negligence by Partner Hospital personnel;
  • Inadequate or inappropriate treatment administered during or after ambulance transport;
  • Adverse medical outcomes, complications, or worsening of condition during or following emergency care; or
  • Any other clinical matter arising from the professional medical services provided by Partner Hospitals.

Any claim arising from clinical care must be pursued directly against the relevant Partner Hospital or healthcare provider in accordance with applicable Nigerian medical malpractice and tort law. FirstAI.d is not a party to the clinical care relationship and assumes no liability for medical outcomes.

7. LIMITATION OF LIABILITY

7.1 Scope of Exclusions and Limitations

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE FEDERAL REPUBLIC OF NIGERIA:

  1. FirstAI.d, its founders, officers, employees, agents, contractors, and partners shall not be liable for any death, personal injury, or health complication arising from your use of, or inability to use, the Platform, provided that nothing in this clause excludes liability for death or personal injury caused by our gross negligence or wilful misconduct;
  2. FirstAI.d shall not be liable for any errors, omissions, inaccuracies, or incompleteness in AI-generated first aid instructions, triage outputs, or hospital routing information;
  3. FirstAI.d shall not be liable for any delay, failure, cancellation, or inadequacy of Ambulance Services dispatched through the Platform, whether caused by Partner Hospitals, traffic conditions, equipment failure, or any other factor;
  4. FirstAI.d shall not be liable for the absence, malfunction, or inadequacy of medical equipment carried by ambulances, including but not limited to defibrillators, oxygen supplies, life-support systems, or trauma intervention tools;
  5. FirstAI.d shall not be liable for any clinical mismanagement, negligence, malpractice, or adverse medical outcome arising from care provided by Partner Hospitals or their personnel;
  6. FirstAI.d shall not be liable for failed or delayed ambulance dispatch arising from insufficient Wallet balance, payment processing errors, or User failure to fund the Wallet in a timely manner;
  7. FirstAI.d shall not be liable for inaccurate hospital data, routing errors, or navigation failures caused by third-party mapping providers, GPS inaccuracies, or incomplete location data; or
  8. FirstAI.d shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or connected to your use of the Platform, including but not limited to loss of income, loss of opportunity, emotional distress, reputational harm, or aggravation of pre-existing medical conditions.

7.2 Liability Cap

Where liability cannot be fully excluded under applicable Nigerian law, FirstAI.d total aggregate liability to you for all claims, losses, or damages arising out of or relating to the Platform, whether in contract, tort, statute, or otherwise, shall not exceed the lesser of:

  1. The total amount you paid to FirstAI.d (including Dispatch Fees and Wallet funding) in the twelve (12) months immediately preceding the event giving rise to the claim; or
  2. Fifty thousand Naira (NGN 50,000).

7.3 Acknowledgment of Risk

By using the Platform, you expressly acknowledge and accept the inherent risks of relying on an early-stage emergency coordination technology, including the risk that AI-generated guidance may be incorrect, ambulance dispatch may fail, and Partner Hospital services may be inadequate or delayed.

You agree that FirstAI.d is a coordination platform, not a medical care provider, and that you use the Platform entirely at your own risk. You further agree not to rely solely on the Platform in any Emergency and to call government Emergency Services where the situation is immediately life-threatening.

8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless FirstAI.d and its affiliates, founders, officers, employees, agents, contractors, and partners from and against any and all third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees and court costs) arising out of or relating to:

  • Your use or misuse of the Platform or any of its features;
  • Your violation of any provision of these Terms or any applicable law or regulation;
  • Your provision of false, incomplete, or misleading information to the Platform, Partner Hospitals, or emergency personnel;
  • Any third-party claim alleging injury, loss, or damage caused by your conduct in connection with the Platform; or
  • Your breach of any intellectual property right, privacy right, or other right of a third party.

FirstAI.d reserves the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defences and in the conduct of such defence.

9. INTELLECTUAL PROPERTY RIGHTS

9.1 Ownership

All Content, software, design elements, logos, trademarks, trade names, and other materials on the Platform are the exclusive property of FirstAI.d or its licensors, and are protected by copyright, trademark, patent, and other applicable intellectual property laws.

Your use of the Platform grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal purposes only. Nothing in these Terms transfers any intellectual property rights to you.

9.2 Restrictions

You must not, directly or indirectly:

  • Reproduce, distribute, modify, or create derivative works from any part of the Platform without our prior written consent;
  • Reverse-engineer, decompile, or attempt to derive the source code of any component of the Platform;
  • Use the "FirstAI.d" name, logo, or any other FirstAI.d intellectual property without our prior written consent;
  • Introduce malicious software, viruses, or disruptive code to the Platform or its users;
  • Use automated tools (bots, scrapers, or crawlers) to access or harvest data from the Platform without our express written permission; or
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

10. PRIVACY AND DATA PROTECTION

10.1 Privacy Policy

Your privacy is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in our Privacy Policy.

We comply with the Nigeria Data Protection Act 2023 (NDPA), the NDPA General Application and Implementation Directive (NDPA-GAID 2025), and the Nigeria Data Protection Regulation (NDPR) in our handling of your personal data.

10.2 Location Data

The hospital navigation and ambulance dispatch features rely on location data to function. Location data is collected only while the app is open and actively in use (foreground location only). We do not collect background location data.

Location data is used solely to identify Partner Hospitals, route ambulances to your location, and improve the accuracy of emergency response. It will not be shared with third parties except as necessary to deliver the service or as otherwise set out in our Privacy Policy.

11. TERMINATION AND SUSPENSION

11.1 Termination by User

You may close your Account and discontinue your use of the Platform at any time by contacting FirstAI.d at admin@firstai-d.org. Upon termination:

  • Your access to the Platform will be revoked within seventy-two (72) hours of your request;
  • Any unused Wallet balance will be refunded to you within thirty (30) days, less any applicable transaction fees or charges; and
  • Your personal data will be deleted or anonymised in accordance with our Privacy Policy and applicable data protection law.

Termination by you does not affect any rights, obligations, or liabilities that arose prior to the date of termination.

11.2 Termination or Suspension by FirstAI.d

FirstAI.d may suspend or terminate your access to the Platform immediately and without prior notice where:

  • We reasonably believe you have violated these Terms or applicable law;
  • Your conduct threatens the clinical integrity of the Platform, endangers other Users, or exposes FirstAI.d to legal liability;
  • We reasonably believe your Account has been compromised or is being used for fraudulent purposes; or
  • We receive a binding order from a court, regulatory authority, or law enforcement agency requiring us to suspend or terminate your access.

Where suspension or termination is for operational or business reasons unrelated to breach of these Terms, we will provide you with not less than seven (7) days prior written notice.

Upon termination, Sections 6, 7, 8, 10, and 12 shall survive and remain in full force and effect.

12. GENERAL PROVISIONS

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

12.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved as follows:

  1. The parties shall first attempt to resolve the dispute in good faith through direct negotiation. Either party may initiate this process by giving written notice to the other.
  2. If the dispute is not resolved within thirty (30) days of such notice, either party may refer the matter to binding arbitration administered by the Lagos Chamber of Commerce International Arbitration Centre (LACIAC) or, where agreed by the parties, a comparable arbitration body in Abuja.
  3. The seat and venue of arbitration shall be Lagos State, Nigeria, unless the parties agree otherwise in writing.
  4. Proceedings shall be conducted in the English language by a sole arbitrator jointly appointed by the parties or, failing agreement, appointed by LACIAC in accordance with its rules.
  5. The arbitral award shall be final and binding on both parties and may be entered as judgement in any court of competent jurisdiction.
  6. Each party shall bear its own legal costs and expenses, unless the arbitrator orders otherwise.

Nothing in this Section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect intellectual property rights or prevent immediate, irreparable harm.

12.3 Entire Agreement

These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and FirstAI.d concerning the Platform and supersede all prior representations, understandings, or agreements, whether written or oral.

12.4 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be replaced with an enforceable provision that most closely approximates the original intent, and the remaining provisions shall continue in full force and effect.

12.5 Waiver

The failure of either party to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by the waiving party to be effective.

12.6 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without FirstAI.d prior written consent. FirstAI.d may freely assign its rights under these Terms, including in connection with a merger, acquisition, or sale of assets, without your consent.

12.7 Force Majeure

FirstAI.d shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, epidemics, pandemics, civil unrest, acts of government or regulatory authority, telecommunications or network failures, power outages, or any other force majeure event.

12.8 Amendments to These Terms

FirstAI.d reserves the right to modify these Terms at any time. Where changes materially affect your rights or obligations, we will provide you with not less than fourteen (14) days prior written notice via the email address associated with your Account or through an in-app notification.

Your continued use of the Platform following any such notice constitutes your acceptance of the revised Terms. If you do not agree to the changes, you may close your Account in accordance with Section 11.
